1. Definitions
In these Terms:
- "SellMen" or "the Platform" refers to the platform owned by Inter.Mark Srl VAT IT04376720274, with registered office in Venice, Viale Ancona 22, 30172.
- "User" refers to any natural or legal person who accesses or uses the service.
- "Professional" is a user who registers as a candidate / professional profile.
- "Company" is a user who searches for profiles / can match / post job offers.
- "Account" is the user profile created on SellMen.
- "Service" refers to all the features offered by SellMen (profile, matching, messaging, search, application, premium plans, notifications).
- "User Content" is any text, information, photo, CV, document uploaded by the user.
- "Premium / Paid Plan" refers to additional services for a fee (e.g. enhanced visibility, unlimited access to candidates, advanced features).
- Other useful definitions (e.g. "Matching", "Fee", "Renewal", "Suspension", "Withdrawal").
2. Acceptance of Terms
2.1 SellMen offers a technological platform that acts as an intermediary to facilitate the meeting between Companies and Professionals. SellMen is not an employment agency nor an employment center and is not part of the contractual relationship that may be established between Users.
2.2 Access, registration and use of the Platform entail full acceptance of these Terms and Conditions. By clicking the "Register" button, the User enters into a legally binding contract with Inter. Mark S.r.l.. If the User does not agree with the Terms, they must not use the Service.
2.3 SellMen reserves the right to modify the Terms. Substantial changes will be communicated with at least 30 days' notice. Continued use of the Platform after that date will constitute acceptance of the changes.
3. Registration and User Requirements
- The User must be of legal age or have legal capacity to enter into contracts (if a minor, parental consent is required).
- The user is required to provide truthful, updated and complete data.
- The Account is personal and non-transferable. If a User acts on behalf of a Company, they declare that they have the authority to bind that legal entity to this agreement.
- SellMen reserves the right to refuse registrations or close accounts that do not meet the requirements.
4. Description of Services and Payment Methods:
Rates and plans are visible on the dedicated page / appendix.
4.1 Free Services for Companies:
- Creation of an account and company profile.
- Publication of job search announcements for professional profiles.
- Receipt of notifications regarding interest expressed by Professionals in their announcements.
4.2 Paid Services: to view the details of interested Professionals (name, CV, contacts), the Company must purchase the "Profile Unlock" service. The rates and specific conditions of this service are detailed on the appropriate page of the website www.sellmen.com.
4.3 Payment Methods: Payments can be made via bank transfer or credit card (through the Stripe/Paypal platform). Following payment, SellMen will issue a related invoice.
4.4 Service Execution: The paid service will be activated within a maximum of 12 hours from receipt of payment. SellMen's service is considered fulfilled when the Company gains access to view unlocked profiles.
4.5 SellMen acts as a facilitator / intermediation platform, not as an employer or contractual party between Company and Professional.
5. User Obligations and Conduct
5.1 The User undertakes not to upload unlawful, false, discriminatory, defamatory, pornographic Content or Content protected by third-party copyright without authorization.
5.2. It is prohibited to:
- Use automated tools such as bots, scrapers or harvesting software.
- Send spam or harass other Users.
- Post ads for illegal activities, pyramid schemes, multi-level marketing or that require payment from the candidate.
- Attempt to decrypt or decompile the Platform software.
5.3. The User is obliged to:
- Cooperate with verifications requested by SellMen (e.g. identity verification).
- Report abuses / violations if you are aware of them.
5.4 The User who accesses data of other Users (e.g. a Company viewing a Professional's CV) becomes an autonomous Data Controller pursuant to GDPR (EU Reg. 679/2016) and undertakes to comply with all current legislation on personal data protection, holding SellMen harmless from any liability.
6. Intellectual Property
6.1 The User retains ownership of their Content. By uploading it, they grant SellMen a non-exclusive, worldwide and royalty-free license to use, reproduce, adapt and distribute such content solely for the purpose of providing the Service (e.g. showing the ad, allowing matching).
6.2 Except for Content uploaded by the User, all material on the Platform (texts, graphics, trademarks) is owned by SellMen and is protected by copyright and industrial property laws. Reproduction without written authorization is prohibited.
6.3 SellMen cannot use user content for purposes other than those expressly provided (e.g. selling data to third parties) without consent.
7. Moderation / Content Removal / Account Suspension
- SellMen may intervene to remove content that violates the Terms and Conditions of Use of the service, suspend or close accounts.
- Before removal / suspension, where possible, notice and right of reply will be given.
- Users can report other users / suspicious content.
8. Automatic Renewal and Withdrawal
8.1 Unless otherwise indicated at the time of subscription, all Paid Plans are subject to automatic renewal for periods of identical duration to that originally subscribed. The User can deactivate automatic renewal at any time from their account settings and, in any case, by sending written communication to sellmen@legalmail.it with at least 15 days' notice before the expiry date of the active Plan. In the absence of such communication, the Plan will automatically renew and the corresponding amount will be charged to the chosen payment method.
8.2 In case of non-payment or late payment of the Fees due for renewal, SellMen reserves the right to take, at its sole discretion, one or more of the following actions: a) Send payment reminders. b) Immediately suspend access to paid services and features ("Premium Services"). c) Convert the User's account to a free plan, with consequent potential loss of data, features or capacity exceeding the limits of that plan. d) Terminate this contract and permanently close the account, without prejudice to the right to compensation for damages.
8.3 Without prejudice to the provisions for automatic renewal, the User has the right to withdraw from this Contract at any time and without the need to provide any reason, by written communication to be sent via PEC or using the appropriate cancellation function within their account.
8.4 The withdrawal will take full effect at the end of the billing period already paid (monthly, annual, or other). During this period, the User may continue to use the subscribed services.
8.5 In case of early withdrawal by the User, any right to a refund, total or partial, for the unused service period between the effective date of withdrawal and the natural expiry of the subscribed plan is expressly excluded.
8.6 Any obligations already accrued (e.g. fees due) remain effective even after termination.
8.7 The User can delete their account at any time by following the procedure indicated on the Platform.
9. Limitation of Liability
9.1 The Service is provided "as is" and "as available". SellMen does not guarantee that use of the Platform will lead to employment or collaboration, nor that the service is error-free or uninterrupted.
9.2 SellMen is not responsible for:
- Damages arising from force majeure, acts of God or Internet network malfunctions.
- The truthfulness or lawfulness of Content uploaded by Users.
- The actions or defaults of Users (e.g. a Company that does not contact a candidate).
- Indirect damages such as loss of profit or data.
- Limitation clauses must be compatible with mandatory Italian / European regulations.
- In any case, maximum liability is limited to the consideration actually paid by the user for the service that caused the damage (or a fixed amount, if they never paid).
10. Indemnification
The user undertakes to hold SellMen harmless from any claim arising from violation of third party rights, violation of the Terms or improper use of the service.
11. Duration
- The Terms come into force at the time of registration / acceptance.
- Upon termination, SellMen may delete or anonymize data / content, block access.
- Users can report other users / suspicious content.
12. Suspension and Termination of Contract
12.1 SellMen reserves the right to suspend or close an account in case of violation of these Terms, where possible after notifying the User. In case of suspension, the account will be reactivated when the violation ceases, of which the User must notify SellMen.
12.2 Failure to fulfill essential obligations (e.g. non-payment of purchased services or violation of conduct rules) will result in termination of the contract by right, without notice.
13. Applicable Law and Competent Court
13.1 Applicable Law: These Terms are governed by Italian law.
13.2 Competent Court: For any dispute arising from the interpretation or execution of this contract, the competent court with exclusive jurisdiction is the Court of Venice.
14. Final Clauses
14.1 Official communications will be made via the email address or PEC provided during registration or through notifications on the Platform. The User is responsible for keeping their contacts updated.
14.2 If a clause of these Terms should be declared null or ineffective, the remaining clauses will remain fully valid and effective.
14.3 In case of discrepancies between the Italian version and any translations of this document, the Italian version will prevail.
15. Attachments / Appendices
- Detailed list of plans / rates.
- Code of conduct (specific rules).
- Privacy policy (which forms an integral part).
- Any complaint / reporting forms.
The user, pursuant to and for the purposes of art. 1341 of the Italian Civil Code, declares to expressly and specifically approve the following contractual agreements and conditions: 5. (Indemnification), 12. (Suspension and Termination of Contract), 13. (Applicable Law and Competent Court).
